Terms of Service
These terms are an agreement between you and Sound BI, LLC ("Sound BI", "we", "us"), 40 Burton Hills Blvd, Suite 200, Nashville, Tennessee 37215, for the use of Auditor of Record at app.auditorofrecord.com (the "Service"). If you use the Service for an accounting firm or other organization, you agree to these terms on its behalf, and "you" includes that organization. If you do not agree, do not use the Service.
1. What the Service is
The Service compiles and analyzes public records, chiefly single audit filings in the Federal Audit Clearinghouse and other public government sources, about audited organizations, their federal programs and the firms that audit them. It is an information service. It is not audit, accounting, legal, tax or other professional advice, and it does not replace your own professional judgment. You remain responsible for your professional obligations, including independence and the AICPA Code of Professional Conduct, in how you use the Service and anything you learn from it.
2. Accounts
You sign in with your work email address and a one-time code we send to it. Each account is for one person. Keep your sign-in codes to yourself and tell us promptly at website@soundbi.com if you think someone else has used your account. We link your account to your firm by your email domain or, when the domain does not identify the firm, after we confirm the link ourselves. We may decline, suspend or remove an account that we cannot verify or that breaks these terms.
Each firm has an administrator, normally its first verified user, who can buy and manage the firm's subscription. Other verified users at the firm can see who the administrator is.
3. Pre-launch
The Service is offered before its general launch. We expect to change its features, tiers and pricing as we learn what firms need, and some features may be added, changed or removed. For a firm that subscribes during pre-launch:
- We will give at least 30 days' notice by email before any price change applies to your subscription, and your pre-launch price will not change during the first 12 months after your first payment.
- If a change takes away something you are paying for, you may cancel and we will refund the unused part of your current paid period.
4. Subscriptions and payment
A subscription is for one firm and covers every verified user at that firm. You can pay monthly or yearly, at the prices shown on the Plan page when you subscribe. Subscriptions renew automatically at the end of each period until cancelled. Payments are processed by Stripe; we do not receive or store your card details. Prices do not include sales tax; where we are required to collect tax, it is added at checkout.
You can cancel at any time from the Plan page. Cancellation stops the next renewal; you keep access until the end of the period you have paid for. Payments are non-refundable, including for partly used periods and for an annual plan cancelled before the year ends, except where sections 3 and 10 say otherwise or the law requires a refund. If you want to try the Service before committing to a year, choose the monthly plan. If a payment fails, we and Stripe will try again for a while; if it still fails, paid features are turned off until the subscription is paid.
5. Acceptable use
You may use the Service and its exports for your firm's internal business purposes. You may not:
- resell, sublicense or redistribute the Service, or substantial parts of its data or analysis, to anyone outside your firm;
- collect data from the Service by automated means (scraping, crawling or bulk downloading) beyond the exports the Service provides;
- share your account, or give access to people who are not users at your firm;
- copy, reverse engineer or interfere with the Service, or try to get around its security or access controls;
- use the Service to harass, defame or unlawfully discriminate against anyone, or in breach of any law.
6. Data, accuracy and ownership
The underlying records are public. Our selection, matching, compilation and analysis of them, and the Service's software and design, belong to Sound BI. We grant you a limited, non-exclusive, non-transferable right to use them under these terms while your account is active.
Public records can be incomplete, late or wrong as filed, and we combine them with automated rules (for example, deciding that two filings name the same firm or that one firm acquired another) that can be wrong too. We work to keep the Service accurate but do not guarantee it. If you see an error, tell us at website@soundbi.com and we will look at it.
If you send us suggestions or feedback, we may use them without obligation to you.
7. Availability
We aim to keep the Service available but do not promise that it will be uninterrupted or error free, particularly during pre-launch. We may carry out maintenance and make changes that affect availability.
8. Disclaimers
To the extent the law allows, the Service is provided "as is" and "as available", without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, accuracy and non-infringement.
9. Limitation of liability
To the extent the law allows, Sound BI will not be liable for any indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, clients or data, arising from or related to the Service, even if we were told they were possible. Our total liability for all claims arising from or related to the Service or these terms is limited to the amount you paid us for the Service in the 12 months before the event giving rise to the claim.
10. Ending your use
You may stop using the Service and cancel your subscription at any time. We may suspend or end your access if you materially break these terms, if required by law, or if we stop offering the Service; if we stop offering it for reasons other than your breach, we will refund the unused part of your paid period. Sections 6, 8, 9, 12 and 13 continue after your use ends.
11. Changes to these terms
We may update these terms. We will post the new version here and, for a material change, email account holders at least 30 days before it takes effect. If you keep using the Service after a change takes effect, the new terms apply. If you do not agree, cancel before then.
12. Governing law
These terms are governed by the laws of the State of Tennessee, without regard to its conflict of laws rules. Any dispute will be brought in the state or federal courts located in Davidson County, Tennessee, and you and we consent to their jurisdiction.
13. General
These terms and our Privacy Policy are the whole agreement about the Service. If any part is unenforceable, the rest still applies. Not enforcing a right is not a waiver of it. You may not transfer these terms without our consent; we may transfer them with our business.
